What Is an Annual Confirmation Statement Service?

An Annual Confirmation Statement confirms to Companies House that the following important information about your company is up-to-date:

How often must I submit a Confirmation Statement?

You can update the register as much as you want if you have changes during the course of a year, but you are required to file a Confirmation Statement annually.

By when do I need to submit the Confirmation Statement?

You are given a 12-month review period and the Confirmation Statement is due 14 days after the end of that time. Your 12-month review period starts on either the date your company is incorporated or the date you filed your last Confirmation Statement.

Although you may submit a statement anytime during the year to keep your details updated, if you file a Confirmation Statement early, it sets off a new 12-month review period from that date.

What company changes does Companies House need to be aware of?

Companies House records need to be kept up to date with this information:

  • Directors and secretary
  • People with significant control (PSC)
  • Registered office address

This is not done as part of the Confirmation Statement but Clever Company Formations can file these changes on your behalf via the relevant forms at an additional charge.

You must complete and file a Confirmation Statement if there have been any changes to your:

  • Standard Industrial Classification (SIC) code
  • Statement of capital
  • Shareholder information
  • Trading status of shares
  • Exemption from keeping a PSC register

What if you make a mistake on your Confirmation Statement?

If there are mistakes on the Confirmation Statement, you’ll need to submit a form CS01. In addition, form RP04 must also be submitted to show Companies House that a document was filed with errors that is being shown on the public register.

Are there consequences to not submitting an annual Confirmation Statement?

While there is no fine attached to not filing a Confirmation Statement, there is a risk of your company being struck off the Companies House register. Companies House begins the strike-off procedures when the Confirmation Statement is overdue by around two months.

If nothing has changed, do I still need to file a Confirmation Statement?

Yes. Companies House requires all registered businesses to submit an annual Confirmation Statement even if there are no changes since the last confirmation. This is how they keep their records up to date.
