How long does company share transferral take?

Once Clever Company Formations gets all the required information from you, you will receive the documentation required to start the process within 2 working days. Both the seller and buyer need to complete the stock transfer form and return it to us.

Can I sell my company shares to anyone?

As a shareholder you can sell shares to anyone unless the company's Articles of Association impose a restriction.

What new shareholder information do I need to provide?

The information needed for us to complete the transfer of shares to a new shareholder is:

  • Full name of the person getting the shares
  • Contact address (to be displayed on the share certificate)
  • Number of shares being transferred/issued

Which classes of share can I transfer through your service?

You can only transfer ordinary company shares with this service. We cannot assist in the transfer of non-ordinary company shares nor make any amendments to the Articles of Association. For either of these requirements you would need to contact a solicitor.

What is the Stamp Duty on share transfers?

A stamp duty of 0.5% of the total value of the shares transferred must be paid where the transfer is in excess of £1,000 – this will be rounded up to the nearest £5.00. This information must be recorded on a stock transfer form (J30) and sent to HMRC within 30 days of the date of the transfer. Once the stock transfer form has been received by HMRC, a tax demand will be issued. The stamp duty on shares must be paid by the person to whom the shares are transferred.

What is a Confirmation Statement?

A Confirmation Statement is a report that includes accurate and up-to-date information about a limited company. The Confirmation Statement is filed with Companies House at least once every 12 months to confirm the company details are up-to-date and to report any changes to the shareholders' details and/or issued share capital.

Why do I need to file a Confirmation Statement?

In order to see updated shareholder information on the Companies House website, you will need to file a Confirmation Statement. Without this, any new shareholders will not be visible until the next statement has been submitted. Most banking services require up-to-date shareholder information recorded at Companies House.

  • Stock Transfer Form J30 - the standard document required to legally transfer ownership of shares to another person, it contains details of both the seller and buyer, type and number of shares being transferred, and the share price paid by the buyer. If shares are sold for more than £1000, the new shareholder must send a copy of the J30 transfer form to HMRC and pay the necessary Stamp Duty due on the shares.
  • Meeting minutes documentation - registered companies are required by the Companies Act 2006 s.248 to record and keep minutes of all directors' meetings, and the directors should approve all share transfers and issue minutes from the board meeting during which the transfer of shares was authorised.
  • Share Certificates – these serve the purpose to confirm that a certain person is the registered owner of shares in the company on a specific date. The share certificate must be issued to shareholders within two months of shares being issued, or the date when the transfer documentation has been received by the company. The share certificate documents the name and address of each individual shareholder and the number of shares held.
